1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Remixx ("Company," "we," "us," "our"), governing your access to and use of the Remixx website, mobile application, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. ELIGIBILITY

2.1 Age Requirements

You must be at least sixteen (16) years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2.2 Capacity

You represent and warrant that you have the legal capacity to enter into these Terms and are not barred from using the Service under any applicable laws.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

You may browse certain areas of the Service without creating an account
Account registration is required to post content and access certain features
You agree to provide accurate, current, and complete information during registration

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials
You agree to notify us immediately of any unauthorized use of your account
You are liable for all activities that occur under your account

3.3 Anonymous Posting

The Service provides an option to post anonymously
Anonymous posting does not exempt you from these Terms
We reserve the right to track and ban users who violate these Terms while posting anonymously

4. USER CONTENT

4.1 Content Ownership

You retain all ownership rights to content you create and upload to the Service ("User Content").

4.2 License Grant

By posting User Content, you grant Remixx a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

Use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service
Promote the Service on social media and other platforms
Store and process User Content for technical purposes

4.3 Content Representations

You represent and warrant that:

You own or have the necessary rights to post the User Content
Your User Content does not infringe any third-party rights
Your User Content complies with these Terms and all applicable laws

5. PROHIBITED CONTENT AND CONDUCT

5.1 Prohibited Content

You may not upload, post, or transmit content that:

Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
Contains hate speech or discriminatory content
Is pornographic, sexually explicit, or obscene
Infringes any intellectual property or proprietary rights
Contains AI-generated content
Violates any applicable laws or regulations

5.2 Prohibited Conduct

You may not:

Use the Service for any illegal purpose
Impersonate any person or entity
Interfere with or disrupt the Service
Attempt to gain unauthorized access to any portion of the Service
Scrape or data mine the Service
Circumvent any content filtering or security measures

6. INTELLECTUAL PROPERTY

6.1 Service Content

All content on the Service, excluding User Content, including but not limited to text, graphics, logos, and software, is the property of Remixx or its licensors and is protected by intellectual property laws.

6.2 Fair Use and Remixing

The Service supports creative remixing and transformative use. Generally acceptable uses include:

Memes and image macros
Parody and satire
Commentary and criticism
Transformative edits that add new expression or meaning

Users are responsible for ensuring their remixes comply with fair use principles and do not infringe third-party rights.

7. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)

7.1 DMCA Compliance

Remixx respects intellectual property rights and complies with the Digital Millennium Copyright Act.

7.2 Notification of Infringement

To report copyright infringement, send a notice to:

Physical or electronic signature of the copyright owner or authorized agent
Identification of the copyrighted work claimed to be infringed
Identification of the allegedly infringing material with sufficient detail for location

A statement under penalty of perjury that the information is accurate

7.3 Counter-Notification

If you believe your content was wrongfully removed, you may submit a counter-notification containing the required elements under 17 U.S.C. § 512(g).

8. PREMIUM SERVICES

8.1 Premium Features

Premium subscriptions may include:

Special badge designation
PNG file conversion capabilities
Special color customization
Additional features as we may offer

8.2 Payment and Billing

Premium subscriptions are billed in advance
All fees are non-refundable unless otherwise stated
We reserve the right to modify pricing with notice

9. PRIVACY AND DATA

9.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference.

9.2 Data Collection

We collect minimal data necessary for Service operation. Third-party analytics may be collected by Cloudflare.

10. DISCLAIMERS AND WARRANTIES

10.1 Service Availability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free of viruses or harmful components
The results obtained from the Service will be accurate or reliable

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REMIXX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO REMIXX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Remixx and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any third-party rights

13. DISPUTE RESOLUTION

13.1 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13.2 Arbitration Procedures

Arbitration shall be conducted in North Carolina
Each party shall bear its own costs
The arbitrator's decision shall be final and binding

13.3 Exceptions

The following disputes are not subject to arbitration:

Small claims court actions
Injunctive relief for intellectual property infringement

13.4 Class Action Waiver

YOU AGREE TO BRING CLAIMS AGAINST REMIXX ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. TERMINATION

14.1 User Termination

You may terminate your account at any time through the Service settings.

14.2 Company Termination

We reserve the right to:

Suspend or terminate accounts that violate these Terms
Ban IP addresses for serious or repeated violations
Remove content that violates these Terms

14.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
User Content may be deleted or made anonymous at our discretion
Sections of these Terms that by their nature should survive termination shall remain in effect

15. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify users of material changes via:

Email notification to registered users
Prominent notice on the Service

Continued use of the Service after changes constitutes acceptance of the modified Terms.

16. GENERAL PROVISIONS

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of North Carolina, without regard to conflict of law principles.

16.2 Entire Agreement

These Terms constitute the entire agreement between you and Remixx regarding the Service.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.4 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

16.7 Export Compliance

You agree to comply with all applicable export and import laws and regulations.
